Terms of Service

Welcome to Cue'd Up. These Terms of Service ("Terms") govern your use of the Cue'd Up platform operated by Cue'd Up LLC ("we," "us," or "our"), an New Jersey limited liability company. By creating an account or using our services at cuedupapp.com, you agree to be bound by these Terms.

If you do not agree to these Terms, do not use our platform.

1. Acceptance of Terms

By accessing or using Cue'd Up, you confirm that you are at least 13 years old and have the legal capacity to enter into these Terms. If you are using the platform on behalf of a business (e.g., as a venue owner), you represent that you have the authority to bind that business to these Terms.

Age Requirement

You must be at least 13 years old to use Cue'd Up. By creating an account, you represent that you are at least 13 years old. If we learn that an account holder is under 13, we will terminate the account and delete all associated data immediately.

2. Account Responsibilities

You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You agree to:

• Provide accurate and complete information when creating your account
• Keep your login credentials confidential
• Notify us immediately if you suspect unauthorized access to your account
• Not create multiple accounts for the purpose of abusing platform features, manipulating rankings, or evading bans

3. Subscription Billing

Cue'd Up offers both free and paid subscription plans for players and venues. By subscribing to a paid plan:

• Auto-Renewal: Subscriptions automatically renew at the end of each billing period (monthly) unless you cancel before the renewal date.
• Payment: All payments are processed securely through Stripe. You authorize us to charge your payment method on file for recurring subscription fees.
• Price Changes: We may change subscription prices with at least 30 days' notice. Price changes take effect at your next renewal date.
• Cancellation: You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period — you will retain access to paid features until then.
• Refunds: Subscription fees are generally non-refundable. If you believe you were charged in error, contact us within 14 days at kyle@cuedupapp.com.

Player Plans

• Free ($0): Full gameplay — game tracking, ELO ratings, leagues, tournaments, challenges, wagers, venue discovery, practice drills, and community features. Includes ads.
• Verified ($14.99 one-time): Everything in Free plus ad-free experience, verified badge on your profile, and 10% bonus on credit purchases.
• Pro ($9.99/month): Everything in Verified plus deep analytics, session recaps, form charts, daily challenges, custom profile customization, match history export, and early access to new features.

Venue Plans

• Bar ($39.99/month): Up to 6 tables, 3 staff accounts, full game tracking, QR check-ins, kiosk mode, tournaments, leagues, events, specials, drink deals, venue chat, and basic analytics.
• Pool Hall ($99/month): Up to 30 tables, 10 staff accounts, same features as Bar with higher capacity.
• Add-ons: Available for additional monthly fees (TV displays, full analytics, table billing, branded kiosk, zone management, and more).
• Enterprise: Custom pricing for operators managing tables across multiple locations.

4. Credits

Cue'd Up may offer virtual credits ("Credits") that can be purchased or earned on the platform. Regarding Credits:

• Credits are virtual currency with no cash value and cannot be redeemed for real money
• Credits are non-refundable and non-transferable except as permitted within platform features
• Credits may be used for in-platform purchases, wagers, and other designated features
• We reserve the right to modify the Credit system, including pricing and redemption options, at any time
• Unused Credits do not expire as long as your account remains active. If your account is terminated for any reason, all remaining Credits are forfeited and have no cash value

5. Wagers

Cue'd Up may offer a wager feature that allows players to stake Credits on the outcome of games. Regarding wagers:

• Wagers are for entertainment purposes only and use Credits (virtual currency), not real money
• The platform takes a 5% service fee on wager payouts
• Both players must agree to a wager before a game begins
• Wager outcomes are determined by game results as recorded on the platform
• Any attempt to manipulate wager outcomes (e.g., match fixing, collusion) will result in immediate account termination and forfeiture of Credits

You are solely responsible for ensuring that your use of the wager feature complies with the laws of your jurisdiction.

6. User Content

You may submit content to the platform, including posts, chat messages, comments, and profile information ("User Content"). Regarding User Content:

• Ownership: You retain ownership of the content you create.
• License: By posting content, you grant Cue'd Up a worldwide, non-exclusive, royalty-free license to use, display, reproduce, and distribute your content in connection with operating and promoting the platform.
• Responsibility: You are solely responsible for the content you post. Do not post content that is illegal, harassing, defamatory, or infringes on the rights of others.
• Moderation: We reserve the right to remove any content that violates these Terms or that we deem inappropriate, without prior notice.

7. Prohibited Conduct

You agree not to:

• Use the platform for any unlawful purpose
• Harass, bully, or threaten other users
• Manipulate rankings, stats, or game outcomes through dishonest means
• Create fake accounts or impersonate other users
• Attempt to gain unauthorized access to other accounts or our systems
• Use bots, scrapers, or automated tools to access the platform without permission
• Interfere with or disrupt the platform or its infrastructure
• Circumvent any security measures, rate limits, or access restrictions
• Use the platform to spam, advertise, or solicit without authorization

8. Venue Owner Responsibilities

If you register as a venue owner or manager, you agree to the following additional responsibilities:

• You must have legal authority to represent the venue you register
• Venue information (name, address, hours, table count) must be accurate and kept up to date
• You are responsible for managing your staff accounts and their access permissions
• You must comply with all applicable local, state, and federal laws in operating your venue
• You may not use the platform to collect or misuse player data beyond what is necessary for venue operations
• Venue creation is subject to approval — not all requests will be granted

9. Intellectual Property

The Cue'd Up name, logo, branding, software, and all associated content (excluding User Content) are the intellectual property of Cue'd Up LLC. You may not copy, modify, distribute, or create derivative works from our intellectual property without our written permission.

"APA" and "BCA" are trademarks of their respective organizations. Cue'd Up is not affiliated with, endorsed by, or officially connected to the American Poolplayers Association or the Billiard Congress of America.

10. Disclaimers

Cue'd Up is provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not guarantee that the platform will be uninterrupted, error-free, or secure at all times.

We are not responsible for the accuracy of user-submitted content, venue information, or game results. We do not verify the identity of users or the legitimacy of venues beyond our standard approval process.

11. Limitation of Liability

To the maximum extent permitted by law, Cue'd Up LLC and its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform, including but not limited to loss of data, loss of profits, or loss of Credits.

Our total liability for any claim arising from these Terms or your use of the platform shall not exceed the amount you paid to us in the 12 months preceding the claim, or $100, whichever is greater.

12. Dispute Resolution

Any disputes arising from these Terms or your use of Cue'd Up shall be governed by the laws of the State of New Jersey, without regard to conflict of law principles.

Before filing any formal legal action, you agree to first contact us at kyle@cuedupapp.com and attempt to resolve the dispute informally within 30 days. If the dispute cannot be resolved informally, it shall be resolved in the state or federal courts located in New Jersey.

13. Cancellation & Termination

Cancellation

You can cancel your subscription at any time through your account settings. You will retain access to your paid features until the end of your current billing period. After that, your account reverts to the Free plan. Your data is preserved.

Account Termination

We reserve the right to suspend or terminate accounts that violate these Terms, engage in prohibited conduct, or that we reasonably believe pose a risk to the platform or other users. Upon termination, your right to use the platform ceases immediately. Any Credits in your account at the time of termination due to a Terms violation are forfeited.

You may also request permanent deletion of your account and all associated data by contacting kyle@cuedupapp.com.

If you withdraw consent to data processing, we may not be able to provide certain features. You can request account deletion, which will permanently remove all your data.

Sections that by their nature should survive termination (including Limitation of Liability, Dispute Resolution, and Intellectual Property) will continue to apply.

14. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Effective Date" at the top of this page and notify you through the platform or by email. Your continued use of Cue'd Up after changes are posted constitutes your acceptance of the updated Terms.

If you disagree with any changes, you may close your account before the changes take effect.
